Our Mission

Our mission is simple, to be the Equites Marketplace for Private Companies.

ClearList combines innovation with deep capital markets expertise to provide vertically integrated solutions that address the equity management and liquidity needs of private companies, their investors and employees, from start up to public market entry.

  • Provide cap table management software inclusive of transfer agent services
  • Connect companies with our curated investor network to raise new rounds of funding via private placements of securities
  • Enable companies to sponsor liquidity events (tender offers, auctions, buy backs) for their employees and investors
  • Provide a full suite of secondary trading capabilities to support:
    • Continuous trading with two sided markets and same day settlement
    • Pre-IPO liquidity to obtain a reference price ahead of public market entry

Specific to secondary trading, ClearList’s platform draws on the expertise of traders, market makers and clearing/custody specialists, leveraging a sophisticated market making trading architecture to enhance liquidity in private equity markets. We are uniquely positioned to bring the best of the public equity markets to private equities.

ClearList wholly owns two FINRA and SIPC member broker-dealers and is an Alternative Trading System (“ATS”) operator for the secondary trading of private company securities.

Our team has a proven track record of building scalable trading businesses.

Cap Table Sales & Implementation - Analyst (CA or NY)

The Role:

We are looking problem solvers with experience and a passion to grow our differentiated high-touch Cap Table solution.  Your primary responsibility will be to grow our cap table solution business by prospecting for new clients independently, maintaining existing relationships and growing our partnerships with accelerators, law firms, venture capital and accounting firms.

In this role, you will develop expertise in private company investor management tools and use that knowledge to sell our SaaS based solution to clients.  This role is a fit for people that are passionate about markets and have a strong desire to link software solutions to real business needs.

  • Work with company founders, CFOs, and other executives to solve their equity management needs
  • Support new clients in “on-boarding” them onto the ClearList platform and in ensuring they have a seamless client experience
  • Coordinate and manage inputs needed from both clients and partners
  • Train clients on how to use ClearList’s cap table software
  • Help develop and refine new features / workflows based on client feedback or identified needs
  • Grow the client relationship and cross sell our other solutions as a client grows with us

 

Qualifications

  • 3+ Experience in Cap Table/SaaS solutions sales
  • Strong project management skills – must be able to manage multiple projects at a time, while providing timely follow up to clients
  • Proficiency in Excel and online marketing tools
  • Strong communication skills and thrive when working with clients through a complex set of problems and solutions
  • Strong organizational and client management skills
  • Ability to work cross-functionally with teams 
  • Ideal candidate is ambitious, proactive, a self-starter, helpful and resourceful
  • Preferred candidates will have one or more of:
    • Previous work experience at a Fin-tech software company
    • Familiarity with Private Shares trading platforms
    • Private placement experience
    • Familiarity with finance, accounting, and capital markets

Financial Analyst (NY)

The Role:

We are looking for a highly motivated Financial Analyst to join the team, based in New York and play a critical role in ensuring accurate financial reporting, optimal financial management, and efficient operations across the organization.

When possible, you will have the opportunity to study for and take applicable FINRA registration exams.

Responsibilities

  • Provide accounting and clerical support
  • Manage and verify all expense reports and ensure compliance with company policies
  • Audit and coordinate invoices for proper approval and accuracy
  • Manage invoice processing, new user entry, vendor imports, and PO approvals
  • Enter and upload invoices into applicable systems
  • Prepare and maintain various GL account schedules and reconciliations

 

Qualifications

  • Bachelor’s Degree in Accounting or Finance
  • 3+ years of related work experience; internship experience counts
  • Proficient in NetSuite and Microsoft Excel
  • Strong writing, analytical, and communication skills

Private Placement ECM Coverage - Director (CA or NY)

The Role:

We are looking for an individual to partner directly with the Chief Revenue Officer and the Sales and Product & Management teams to originate, structure and execute private company transactions. The ideal candidate is relationship-driven, comfortable working hands-on, ambitious and results-oriented.

Key responsibilities include:

  • Develop new relationships with private securities market participants, including issuers, venture capital firms, hedge funds, asset managers, family offices, banking partners and other institutional relationships
  • Provide issuers with market trends and targeted investor insights
  • Coordinate the marketing and book building of transactions
  • Identify and develop partner relationships to cultivate a wider network that generates deal flow
  • Understand the full ClearList ecosystem and as appropriate weave other product solutions into relationship opportunities
  • Continually work to improve the client engagement process and suggest ways to improve the ClearList ecosystem


Qualifications

  • 5+ years of relevant experience in investment banking, capital markets, private placements, or the secondary market for private securities. This can be from an investment bank/brokerage firm, fintech, and/or related institution
  • Strong oral and written communication skills
  • Strong networking skills with a track record of developing strategic relationships and winning new business with private companies
  • Established relationships in the private markets ecosystem
  • Experience with sourcing, evaluating, structuring, and executing complex primary and secondary private placements
  • Ability to prepare and present investment memos and financial modeling to internal committee for approval
  • Understanding of the private placements/secondary transactions process, including regulatory and compliance requirements
  • Have initiative and leadership skills to drive projects to completion
  • Excellent communication skills, strong attention to detail
  • Series 7 & 63

Secondary Trading ECM Coverage - Director (CA or NY)

The Role:

We are looking for problem solvers with the experience and relationships to grow our liquidity event and secondary trading capabilities.

The Director will work closely with the sales team and Executive Leadership to develop and manage relationships with private companies to source tender, auction and other secondary trades and build out our investor network and deal syndication process. Specific responsibilities include:

  • Leverage existing private company relationships to originate, structure and execute secondary transactions
  • Play an active role and drive the execution of mandated deals
  • Participate in or lead the investor targeting process for transactions in coordination with the executive teams of listed companies
  • Help define the client service model to maximize the platform benefits for clients
  • Cross sell other related products that support strengthening the client relationship

 

Qualifications

  • 5+ years of sales experience in private security transactions including prior work with private share tender offerings, auctions, buybacks and other trading strategies
  • Deep understanding of capital markets, market infrastructure, and knowledge of deal structuring and closing transaction
  • Strong networking skills with a track record of developing strategic relationships and winning new business with private companies
  • Excellent communication skills, strong attention to detail.
  • Strong cross-functional experience and skills
  • Series 7 & 63 preferred
